This website is operated by Formosa Plants. Throughout the site, “we,” “us,” and “our” refer to Formosa Plants. By visiting our site or purchasing from us, you agree to these Terms of Service. Please read them carefully before using the website. If you do not agree, you may not access the site or use our services.

1. Online Store Terms

You must be at least the age of majority in your state of residence, or have permission from a parent or legal guardian, to use this site. You may not use our products or services for any unlawful or unauthorized purpose. You agree not to transmit malicious code or interfere with the security or operation of the website.

2. Products and Plant Variability

We sell live plants and related goods. Each plant is naturally unique. Color, size, fullness, leaf count, branching, bloom stage, fruiting stage, and other characteristics may vary from photographs and descriptions. Plants may be pruned or prepared for safe shipment, and minor cosmetic differences, soil displacement, leaf loss, or temporary shipping stress do not necessarily mean a plant is damaged or unhealthy.

Plant performance after delivery depends on climate, season, handling, watering, light, soil, planting conditions, pests, and customer care. We cannot guarantee future growth, flowering, fruiting, or survival except as expressly stated in our Shipping and Return Policy.

3. Product Information and Availability

We make reasonable efforts to display product descriptions, photographs, prices, and availability accurately. We may correct errors, update information, limit quantities, or discontinue products at any time. All orders are subject to acceptance and product availability. We may refuse or cancel an order, including orders that appear fraudulent, contain pricing errors, or cannot legally or safely be shipped to the destination.

4. Orders, Billing, and Payment

You agree to provide current, complete, and accurate billing, shipping, and contact information. You authorize us and our payment providers to charge the amount shown at checkout, including applicable taxes and shipping charges. We may contact you when information is needed to process or deliver your order.

5. Shipping and Delivery

Delivery dates are estimates and are not guaranteed. Carrier delays, weather, holidays, agricultural restrictions, and events outside our control may affect delivery. Customers are responsible for providing a complete and secure delivery address and for promptly retrieving packages after delivery. Any shipping restrictions and available destinations are described on our website or at checkout.

6. Damaged Plants, Warranty, Returns, and Refunds

If a plant arrives damaged, you must contact us within 48 hours of delivery and provide the order number and clear photographs of the plant, packaging, and shipping label. Eligible claims may be resolved with a refund or replacement at our discretion. Our plant warranty period is 14 days from delivery. Further eligibility requirements, exclusions, and procedures are contained in our Shipping and Return Policy, which is incorporated into these Terms.

7. Care Information

Plant-care information is provided for general educational purposes. Growing conditions differ, and customers are responsible for determining whether a plant is suitable for their home, garden, climate, household, pets, and local regulations. Nothing on this site is professional horticultural, medical, veterinary, or legal advice.

8. Intellectual Property

The website and its content, including text, branding, logos, photographs, graphics, and designs, are owned by or licensed to Formosa Plants and are protected by applicable intellectual-property laws. You may use the site for personal shopping and informational purposes only. You may not copy, reproduce, distribute, sell, or exploit our content without prior written permission.

9. Third-Party Services and Links

Our store is hosted by Shopify, and we may use third-party payment, shipping, analytics, advertising, and other service providers. Third-party services and websites are governed by their own terms and policies. We are not responsible for third-party websites or services that we do not control.

10. Prohibited Uses

You may not use the site to violate law, infringe intellectual-property rights, harass or harm others, submit false information, collect personal information without authorization, send spam, introduce malware, scrape the site, evade security features, or interfere with the website or another customer’s use of it. We may suspend or terminate access for prohibited conduct.

11. Disclaimer of Warranties

Except where prohibited by law and except for the express plant warranty described above, the website, services, and products are provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, durability, title, and non-infringement, to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, Formosa Plants and its owners, employees, affiliates, agents, contractors, and service providers will not be liable for indirect, incidental, punitive, special, or consequential damages, including lost profits, lost savings, lost data, or replacement costs arising from use of the site or products. Our total liability for a claim will not exceed the amount paid for the product giving rise to that claim. Some jurisdictions do not allow certain exclusions, so these limitations apply only to the extent permitted by law.

13. Indemnification

You agree to indemnify and hold harmless Formosa Plants and its owners, employees, affiliates, agents, and service providers from third-party claims, liabilities, damages, and reasonable expenses arising from your breach of these Terms, violation of law, or infringement of another person’s rights.

Our collection and use of personal information are governed by our Privacy Policy. Shopify and other service providers may process information as described in their applicable privacy policies.

15. Governing Law

These Terms and any separate agreement for our services are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-law principles. Any dispute will be brought in a court of competent jurisdiction serving the area in which Formosa Plants is headquartered, unless applicable law requires otherwise.

16. Severability and Waiver

If any provision is found unlawful or unenforceable, it will be enforced to the fullest extent permitted and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver of that provision.

We may update these Terms by posting a revised version on this page. Changes take effect when posted unless otherwise stated. Continued use of the website after a change constitutes acceptance of the revised Terms.
